TERMS OF USE AGREEMENT

Welcome to Jondoe. These Terms of Use (“Terms”) govern your access to and use of the Jondoe mobile application, website, and related services (collectively, the “Service”). By downloading, accessing, or using Jondoe, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Jondoe. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to agree to these Terms.

2. Our Service

Jondoe is a platform that helps users discover date ideas, venues, events, restaurants, businesses, offers, and other experiences. Some content, listings, promotions, offers, or links may be provided by or relate to third-party businesses or services.

Jondoe does not own or operate most of the businesses, venues, or events shown in the Service. We do not guarantee the availability, quality, safety, legality, pricing, hours, promotions, reservations, or accuracy of any third-party business, offer, event, or experience.

3. Acceptance of Terms

By using Jondoe, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, you must stop using the Service.

4. License to Use Jondoe

Subject to these Terms, Jondoe grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended personal use.

You may not:

  • copy, reproduce, distribute, publicly display, or create derivative works from the Service, except as permitted by law;

  • reverse engineer, decompile, or attempt to extract source code from the Service, except where prohibited by law;

  • use the Service for unlawful, fraudulent, abusive, or unauthorized purposes;

  • interfere with or disrupt the integrity, security, or operation of the Service.

We reserve all rights not expressly granted to you.

5. Accounts and Account Security

If you create an account, you agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

  • maintaining the confidentiality of your login credentials;

  • all activity that occurs under your account; and

  • notifying us promptly if you believe your account has been accessed or used without authorization.

We may suspend or terminate accounts that contain false information, violate these Terms, or create risk for Jondoe, its users, or its partners.

6. User Responsibilities

You agree that you will not:

  • use the Service in violation of any applicable law or regulation;

  • submit false, misleading, defamatory, infringing, or otherwise unlawful content;

  • scrape, crawl, harvest, or mass-collect data from the Service;

  • upload viruses, malicious code, or harmful material;

  • attempt to gain unauthorized access to any part of the Service or related systems;

  • impersonate another person, business, or entity;

  • use Jondoe to spam, harass, discriminate against, or harm others.

7. Partner Businesses and Third-Party Services

Jondoe may feature restaurants, bars, venues, events, service providers, and other third parties. Their products, services, promotions, reservations, policies, pricing, and experiences are controlled by those third parties, not by Jondoe.

Any transaction, reservation, purchase, booking, visit, or interaction you make with a third party is solely between you and that third party. Jondoe is not responsible for third-party conduct, products, services, cancellations, injuries, losses, disputes, pricing changes, expired offers, or customer service issues.

Links to third-party websites or services are provided for convenience only. Jondoe does not control or endorse third-party sites or services simply because they appear in the Service.

8. Listings, Promotions, and Content Accuracy

We try to keep the Service updated, but information may change at any time. Business hours, menus, prices, promotions, availability, event details, and other listing information may be incomplete, outdated, or incorrect.

Jondoe does not guarantee that:

  • any listing, offer, discount, or promotion will be available when you try to use it;

  • any information in the Service is complete, current, or error-free; or

  • the Service will always operate without interruptions, delays, or technical issues.

You are responsible for confirming important details directly with the relevant business or provider before relying on them.

9. Future Paid Features

Jondoe is currently offered free of charge for users and businesses unless stated otherwise in writing.

We may introduce paid features, premium services, subscriptions, business tools, advertising products, sponsored placements, or other paid offerings in the future. If we do, we will present the applicable pricing, billing terms, and any material conditions at the time of purchase or signup.

You will not be charged unless you are clearly shown the applicable charges and you expressly agree to them.

If Jondoe later offers recurring subscriptions or auto-renewing services, those offerings will be governed by additional billing terms presented at signup or purchase.

10. Intellectual Property

The Service, including its design, layout, software, text, graphics, branding, logos, trademarks, selections, compilations, and other content, is owned by or licensed to Jondoe and is protected by applicable intellectual property laws.

Except as expressly permitted in writing by Jondoe, you may not use Jondoe’s name, logo, branding, or content for commercial purposes.

Third-party names, logos, trademarks, and content appearing in the Service remain the property of their respective owners.

11. Feedback and User Submissions

If you submit ideas, suggestions, feedback, reviews, messages, photos, or other content to Jondoe, you represent that you have the right to do so.

By submitting feedback specifically about the Service, you grant Jondoe a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and otherwise use that feedback for any lawful business purpose, without compensation to you.

If Jondoe enables user-generated content features, we may remove or disable content at our discretion if we believe it violates these Terms, applicable law, or the rights of others.

12. Privacy

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, store, and share personal information. Please read it carefully.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JONDOE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, JONDOE DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

  • ANY DEFECTS WILL BE CORRECTED;

  • THE SERVICE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR

  • ANY LISTING, BUSINESS, OFFER, EVENT, PRICE, OR RESULT AVAILABLE THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JONDOE, ITS FOUNDERS, OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, JONDOE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Jondoe, its founders, owners, affiliates, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and reasonable attorneys’ fees arising out of or related to:

  • your use of the Service;

  • your violation of these Terms;

  • your violation of any law or the rights of any person or entity; or

  • content or information you submit through the Service.

16. Suspension, Termination, and Service Changes

We may suspend, restrict, disable, or terminate your access to all or part of the Service at any time, with or without notice, if:

  • you violate these Terms;

  • we believe your use creates risk for Jondoe, other users, or third parties; or

  • we decide to change, pause, or discontinue part of the Service.

We may also modify, remove, suspend, or discontinue any feature, listing category, functionality, or part of the Service at any time.

Sections of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. If we make material changes, we may also provide notice through the app, by email, or by other reasonable means.

Your continued use of the Service after updated Terms become effective means you accept the revised Terms.

18. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

19. Severability

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented to you for specific features or services, constitute the entire agreement between you and Jondoe regarding the Service and supersede prior understandings relating to the Service.
