JONDOE BUSINESS TERMS & CONDITIONS

These Business Terms & Conditions (“Terms”) govern the relationship between Jondoe (“Jondoe,” “we,” “our,” or “us”) and any business entity, brand, organization, or authorized representative (“Business,” “you,” or “your”) that submits information, content, media, offers, promotions, or otherwise participates in the Jondoe platform, website, app, or related services (collectively, the “Platform”).

By submitting information to Jondoe, requesting a listing, participating in a promotion, or otherwise engaging with the Platform in a business capacity, you agree to these Terms.

1. About Jondoe

Jondoe is a curated platform designed to help users discover local businesses, venues, events, and experiences.

Unless expressly stated in a separate written agreement, Jondoe acts only as a publisher and curator of listings and related content. Jondoe is not a booking agent, reseller, event organizer, broker, marketplace operator, or service provider for the underlying goods or services offered by any Business.

2. Eligibility and Authority

You represent and warrant that:

  • you are at least 18 years old;

  • you have authority to act on behalf of the Business; and

  • all information and permissions you provide to Jondoe are accurate and valid.

If you submit information on behalf of a Business, you represent that you are authorized to do so.

3. Business Information and Accuracy

You are responsible for ensuring that all information submitted to Jondoe is accurate, current, complete, and lawful, including:

  • business name;

  • address and location details;

  • website, booking links, menus, and social handles;

  • pricing, hours, descriptions, offers, and promotions;

  • images, logos, and other submitted materials.

You agree to notify Jondoe promptly if material information changes.

Jondoe may rely on information provided by you or publicly available information about your Business, but Jondoe does not independently guarantee the accuracy, completeness, or timeliness of business information displayed on the Platform.

4. Editorial Control and Curation

Jondoe is a curated platform. We may review, edit, format, shorten, categorize, reposition, or remove submitted or listed content for consistency, clarity, style, quality, legal compliance, or alignment with the Platform.

Jondoe has sole editorial discretion over:

  • whether a Business is listed;

  • how a listing is presented;

  • where a listing appears;

  • whether a listing is featured, removed, or updated; and

  • how businesses, categories, and content are curated across the Platform.

Submission of information does not guarantee inclusion, placement, ranking, visibility, traffic, leads, performance, or continued presence on the Platform.

5. Listing Notice, Verification, and Removal Requests

a. Listing Notice

If Jondoe creates, updates, or materially changes a listing, we may notify the Business using the contact information provided by the Business or reasonably available through the Business’s official public channels.

b. Verification Requests

Jondoe may request confirmation of listing details, images, offers, ownership, or authorization at any time. Failure to respond may result in delayed updates, removal of certain content, or suspension of the listing.

c. Removal Requests

A Business may request removal of its listing or correction of certain information by contacting team@heyjondoe.com.

d. Response Window

If we contact you regarding verification, updates, authorization, or removal issues, and you do not respond within four (4) business days, we may act based on the information reasonably available to us, including keeping the listing live, updating it, limiting it, or removing it.

6. Offers, Promotions, and Discounts

If you choose to provide a discount, promotion, perk, giveaway component, or other benefit through Jondoe, you agree that:

  • the offer will be truthful, lawful, and accurately described;

  • the eligibility requirements and limitations will be clearly disclosed to Jondoe;

  • the offer will be honored as represented;

  • the offer will not contain hidden restrictions that conflict with the description approved for publication; and

  • you are solely responsible for fulfilling the offer.

Jondoe may remove, pause, revise, or decline to publish any offer at its discretion.

If a Business fails to honor an offer, provides misleading promotional information, or creates user trust issues, Jondoe may suspend or remove the listing, remove the offer, or decline future participation.

7. Free Listings, Paid Features, and Sponsored Placement

At the time of these Terms, Jondoe may offer unpaid editorial listings at its discretion.

Jondoe may also introduce paid products in the future, including featured placements, sponsorships, advertising packages, campaigns, promoted listings, or other premium business services.

No paid placement, sponsored placement, or fee-based service will be created unless the applicable pricing, deliverables, and terms are separately agreed to by Jondoe and the Business, whether through an order form, proposal, invoice, insertion order, campaign agreement, or other written confirmation.

Jondoe may label paid placements, sponsored listings, featured partnerships, or similar content in a manner Jondoe considers appropriate for legal compliance, transparency, or user clarity.

Payment does not guarantee editorial endorsement, exclusivity, permanent placement, ranking, user traffic, conversions, or business results.

8. Term and Termination

These Terms apply beginning on the first date you submit information to Jondoe or otherwise participate in the Platform as a Business and continue until terminated.

Jondoe may suspend, reject, restrict, or terminate a Business listing, offer, campaign, or participation at any time, with or without notice, including if:

  • you violate these Terms;

  • submitted information is false, misleading, outdated, or unauthorized;

  • you fail to honor an offer or campaign commitment;

  • your conduct creates legal, reputational, operational, or trust risk for Jondoe or its users; or

  • Jondoe decides to change or discontinue part of the Platform.

A Business may stop participating at any time by notifying Jondoe, but removal timing may depend on operational needs, content queues, active campaigns, or separate written commitments.

If a separate paid agreement exists, termination, refunds, cancellations, and campaign obligations may also be governed by that separate agreement.

9. Content, Media, and License Rights

a. Business-Provided Content

If you submit or authorize Jondoe to use text, logos, trademarks, photos, videos, graphics, menus, descriptions, or other materials (“Business Content”), you represent and warrant that:

  • you own the Business Content or have all rights necessary to provide it;

  • the Business Content does not infringe, misappropriate, or violate the rights of any third party; and

  • Jondoe’s use of the Business Content as permitted by these Terms will not violate any law or third-party agreement.

You grant Jondoe a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, publish, reformat, resize, crop, and otherwise use the Business Content in connection with:

  • your listing on the Platform;

  • operation and improvement of the Platform; and

  • marketing and promotion of Jondoe and the Platform.

b. Scope of Editing

Jondoe may make non-substantive edits to Business Content for formatting, layout, brand consistency, style, or technical purposes, so long as the overall substance is not materially misrepresented.

c. Public and Licensed Information

Jondoe may also use factual business identifiers and listing details, such as business name, category, location, and links to official pages, and may use media where Jondoe has a reasonable right or license to do so.

d. Takedown Requests

If you believe specific content should be removed or corrected, contact team@heyjondoe.com. Jondoe will review the request and act within a reasonable time in its discretion.

10. Intellectual Property

Except for the limited rights expressly granted by these Terms, nothing in these Terms transfers ownership of any intellectual property between the parties.

Jondoe owns or licenses the Platform, including its design, branding, compilation, layout, original text, software, graphics, and platform content, excluding Business Content owned by the Business or third parties.

You may not use Jondoe’s name, trademarks, logos, branding, or platform materials without prior written permission.

11. No Agency or Partnership

Nothing in these Terms creates any agency, employment, franchise, joint venture, fiduciary, or partnership relationship between Jondoe and any Business.

Unless expressly agreed in writing, neither party has authority to bind the other.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

JONDOE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

JONDOE DOES NOT WARRANT THAT:

  • THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;

  • ANY LISTING WILL BE PUBLISHED OR REMAIN LIVE;

  • ANY FEATURED OR SPONSORED CONTENT WILL PRODUCE RESULTS;

  • ANY PLATFORM TRAFFIC, EXPOSURE, BOOKINGS, SALES, OR CONVERSIONS WILL OCCUR; OR

  • ANY USER, BUSINESS, OR THIRD PARTY WILL ACT IN A PARTICULAR WAY.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JONDOE AND ITS FOUNDERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.

TO THE FULLEST EXTENT PERMITTED BY LAW, JONDOE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS (US $100); OR

  • THE AMOUNT PAID BY THE BUSINESS TO JONDOE FOR THE SPECIFIC PAID SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY.

14. Indemnification

You agree to defend, indemnify, and hold harmless Jondoe and its founders, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, demands, actions, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your breach of these Terms;

  • information, offers, or Business Content you submit or authorize;

  • your business operations, products, services, promotions, or customer interactions;

  • your violation of law; or

  • your infringement or alleged infringement of any third-party right.

15. Compliance With Laws

You are solely responsible for complying with all laws, regulations, permits, licenses, disclosures, and industry rules applicable to your business, listings, promotions, discounts, advertising claims, products, services, and operations.

Jondoe is not responsible for monitoring or ensuring your compliance with such requirements.

16. Updates to These Terms

Jondoe may update these Terms from time to time. When we do, we will update the “Last Updated” date.

Updated Terms become effective when posted, unless we specify otherwise. Continued participation in the Platform after the effective date means you accept the revised Terms.

If Jondoe offers a new paid business product or service, additional written terms may apply to that product or service.

17. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in San Diego County, California, and each party consents to the jurisdiction of those courts.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between Jondoe and the Business regarding the subject matter addressed here, unless the parties enter into a separate written agreement covering a specific listing, campaign, sponsorship, or paid service.
